1. Grant of Licence
Subject to your compliance with this End User Licence Agreement ("EULA") and the Terms of Service, Acqui AI, Inc. ("Licensor") grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Acqui AI software and services ("Software") solely for your internal business purposes.
This licence does not include the right to sublicence, resell, or commercially exploit the Software. The Software is licenced, not sold.
2. Licence Restrictions
You may not, and you may not permit others to:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
- Remove or alter any proprietary notices, labels, or marks on the Software
- Use the Software to develop a competing product or service
- Sublicence, sell, resell, transfer, assign, or otherwise commercially exploit or make available to any third party the Software
- Use the Software in any manner that violates applicable law or this EULA
3. Intellectual Property
The Software and all copies thereof are proprietary to Acqui AI and title thereto remains in Acqui AI. All applicable rights in the Software, including patents, copyrights, trademarks, and trade secrets, are and shall remain in Acqui AI.
You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that title and full ownership rights to the Software will remain the exclusive property of Acqui AI, and you will not acquire any rights to the Software except as expressly set forth in this EULA.
4. Software Updates
Acqui AI may from time to time develop patches, bug fixes, updates, upgrades, and other modifications to improve the performance of the Software ("Updates"). These Updates may be automatically installed without providing any additional notice or receiving any additional consent. You consent to this automatic update.
If you do not want such Updates, your remedy is to terminate your licence and discontinue using the Software.
5. Third-Party Components
The Software may include third-party software components that are subject to separate licence terms. Nothing in this EULA limits your rights under, or grants you rights that supersede, the terms of any applicable open-source or third-party software licence. A list of third-party components and their applicable licence terms is available upon written request.
6. AI and Machine Learning Features
Certain features of the Software utilise artificial intelligence and machine learning technologies. You acknowledge that:
- AI-generated outputs are probabilistic and may not always be accurate
- You are responsible for validating AI-generated content before relying on it for business decisions
- Your use of AI features is subject to the AI usage guidelines in our Acceptable Use Policy
- Acqui AI may use anonymised, aggregated data derived from your use of AI features to improve the Software
7. Term and Termination
This EULA is effective from the date you first access the Software and continues until terminated. This EULA will terminate automatically if you fail to comply with any of its terms and conditions. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
Acqui AI reserves the right to terminate this EULA and your access to the Software at any time, with or without cause, with reasonable notice except where immediate termination is necessary to prevent harm.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ACQUI AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACQUI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ACQUI AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
